Founded in 2020 by James (Jim) Woolery—former Senior Partner at Cravath, Swaine & Moore, co-Head of M&A at JPMorgan Chase, and Co-Founder of Hudson Executive Capital—the firm builds on his track record as one of the nation’s foremost M&A advisors and contested-deal experts, with more than $1.5 trillion in transactions to his credit.

Our attorneys combine elite legal training with direct experience in banking, asset management, and capital markets, giving us the fluency to navigate complex transactions, high-stakes disputes, and strategic mandates with both legal precision and financial acumen. Because we operate on a performance-based fee model, we approach every matter from the perspective of a principal, ensuring our legal strategy is fully aligned with our clients’ commercial objectives and the demands of executing high-stakes transactions and complex disputes.

  • Woolery & Co typically works with clients on a retainer basis with the majority of compensation tied to mutually agreed upon performance milestones. This fee structure is designed to align the Firm directly with our clients and their success.

  • Woolery & Co leverages an extensive, proprietary Firm rolodex of transactional specialists, industry experts, family offices, funds, SWFs, founders and companies, allowing the Firm to facilitate capital introductions, bring forward buyers in a sell-side process and assist in selection of other top-tier advisors.

  • Woolery & Co boasts a team of lawyers that bring forward a unique combination of legal and finance. Each member of our associate team is a JD/MBA and have prior experience in investment banking, asset management or capital markets. As a result, Woolery & Co is able to provide value across the advisor stack and our strategic advice is grounded in a principal level understanding of the deal or dispute.

  • As an independent boutique, Woolery & Co is not encumbered by the many conflicts that preclude large law firms and sell-side advisors from participating in unique situations that require top-tier advisors and bespoke treatment.

  • Woolery & Co intentionally limits which clients we represent and which matters we advise on, such that each project receives dedicated senior partner level focus. This helps lower costs for our clients as we do not use boilerplate as a starting point, there is no large deal team to pass through and no junior associate training costs.
